Terms of Service

These Terms of Service (“Terms”) govern your access to and use of ValueShare (the “Service”), operated by ValueShare (“we”, “us”, or “our”). By creating an account, launching a campaign, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. About the beta

The Service is currently offered as a private beta. It is provided on an “as is” and “as available” basis and may change, break, or be discontinued at any time. Features, limits, and pricing may change as the Service evolves. We do not guarantee any particular uptime, performance, or result during the beta.

2. Eligibility & accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the information you provide, for keeping your account credentials secure, and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

3. Creator responsibilities

As a creator running a campaign, you represent and agree that:

  • You own or are properly licensed to distribute any reward (file, course, video, or other asset) you offer.
  • Your campaign, destination links, and reward content are lawful and do not infringe anyone's rights.
  • You are solely responsible for delivering the rewards you promise to participants who qualify.
  • You will honor the campaign terms you publish, including thresholds and reward access.
  • You will not use the Service to send spam or to promote deceptive, harmful, or prohibited offers.

4. Participant responsibilities

Participants receive a unique referral link and may share it to drive the actions a campaign rewards. Participants agree not to generate fake, automated, incentivized-beyond-the-campaign, or otherwise fraudulent clicks, sign-ups, or conversions. Rewards are provided by the campaign creator and are subject to availability and the creator's terms.

5. Acceptable use

You agree not to, and not to help others:

  • Manipulate click, lead, or conversion counts through bots, scripts, click farms, or similar means.
  • Upload or distribute content that is illegal, infringing, malicious, or that violates third-party rights.
  • Attempt to access accounts, data, or systems you are not authorized to access.
  • Interfere with, disrupt, or probe the Service or its security and fraud-detection controls.
  • Use the Service to phish, mislead, or harm others.

We may suspend or remove campaigns, content, or accounts that we reasonably believe violate these Terms, including during the beta and at our discretion.

6. Rewards & delivery

ValueShare facilitates campaigns and reward delivery but is not the provider of the rewards themselves. Disputes about a reward's quality, suitability, or delivery are between the creator and the participant. We are not responsible for rewards offered by creators.

7. Fees

The Service is free to use during the private beta. We may introduce paid plans in the future; if we do, we will provide notice before any charges apply to your account.

8. Intellectual property

The Service, including its software, design, and branding, is owned by us and protected by applicable laws. You retain ownership of the content you upload. By uploading content, you grant us a limited license to host, process, and display it solely to operate and provide the Service.

9. Disclaimers

To the maximum extent permitted by law, the Service is provided without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

10. Limitation of liability

To the maximum extent permitted by law, ValueShare and its team will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill arising from your use of the Service.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Provisions that by their nature should survive termination will survive.

12. Changes to these Terms

We may update these Terms as the Service evolves. If we make material changes, we will take reasonable steps to notify you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
